This structure allows foreign investors to indirectly hold and control domestic internet companies in China through control agreements, bypassing China's restrictions on foreign investment in the industry.

However, in 2011, as the Chinese government tightened its supervision of foreign investment in the internet industry, the VIE structure began to face challenges. Some companies using the VIE structure faced government investigations and penalties, including some well-known internet firms.
